Perch Platform — Terms of Service
Version 1.0 — effective 13/10/2026.
1. Who we are
These Terms of Service ("Terms") are a contract between you and:
Perch Platform Limited, a private company limited by shares registered in Ireland, company registration number 801020, registered office at Middlequarter, Newcastle, Clonmel, Co. Tipperary, E91 CD71, Ireland.
In these Terms, "we", "us" and "Perch" mean Perch Platform Limited, and "you" means the person or organisation that opens an account with us.
You can contact us at support@perchplatform.com or 087 916 6962. Email is the fastest way to reach us and is the address we use for all notices under these Terms.
2. About these Terms
By creating an account, subscribing to a plan, or using the Service, you agree to these Terms, to our Acceptable Use Policy and to our Privacy Policy, each of which forms part of this contract.
If you are a business customer and you process personal data belonging to other people using the Service, our Data Processing Agreement also applies and is incorporated into these Terms.
If you do not accept these Terms, do not use the Service.
3. The Service
We provide managed cloud hosting on servers located in the European Union. Depending on the plan you choose, this may include:
- a managed Nextcloud instance for file storage, sharing and collaboration;
- managed WordPress website hosting;
- managed Forgejo Git hosting with Woodpecker CI;
- managed PostgreSQL or Redis databases; or
- other managed open-source applications we offer.
"Managed" means we install, host, configure, patch and update the underlying software and infrastructure. It does not mean we build, design, write or maintain the content of your site or the contents of your instance, which remain entirely your responsibility.
The features, storage limits and user limits of each plan are those described on our website at the time you subscribe. We may add, change or remove features over time. If we make a change that materially reduces the functionality of the plan you are paying for, clause 15 applies.
4. Eligibility and your account
You must be at least 18 years old to open an account. If you open an account on behalf of a company or other organisation, you confirm you are authorised to bind it, and "you" means that organisation.
You must give accurate registration details and keep them up to date. You are responsible for everything done through your account, including by your own users, and for keeping your login credentials secure. Tell us promptly at support@perchplatform.com if you believe your account has been accessed without your authorisation.
5. Fees, billing and renewal
Subscriptions. The Service is sold as a monthly subscription, charged in advance. Your subscription renews automatically each month until it is cancelled.
Payment. Payments are processed by Stripe Payments Europe, Limited. We do not store your full card details. By subscribing you authorise us, through Stripe, to charge your payment method on each renewal date.
Prices. Prices are shown in euro and are the total amount payable by you. Perch Platform Limited is not currently registered for value added tax, so no VAT is charged on our invoices. If we become registered for VAT, VAT will be charged on supplies made from the date of registration, and we will give you at least 30 days' notice before any resulting change to the amount you pay.
Price changes. We may change our prices. We will give you at least 30 days' notice by email before a price change takes effect, and the change will apply from your next renewal date after that notice. If you do not accept the new price, you may cancel under clause 8 before it takes effect.
Failed payments. If a payment fails, we will attempt to take it again and will contact you. If the payment remains unpaid 14 days after the renewal date, we may suspend your service under clause 9. Data held in a suspended account is dealt with under clause 10.
6. Right to cancel for consumers (14-day cooling-off period)
This clause applies only if you are a consumer, meaning an individual acting for purposes outside your trade, business, craft or profession. It is in addition to, and does not limit, your rights under the Consumer Rights Act 2022 or the European Union (Consumer Information, Cancellation and Other Rights) Regulations 2013.
You have the right to cancel this contract within 14 days of the day you subscribe, without giving any reason.
To cancel, tell us clearly before the 14 days are up — an email to support@perchplatform.com saying you wish to cancel is enough. You may use the model cancellation form in the 2013 Regulations, but you do not have to.
Starting the Service during the cooling-off period. We normally provision your service straight away, which means it begins before the 14 days are over. When you subscribe, you expressly request that we begin providing the Service immediately and acknowledge:
- if you then cancel within the 14 days, you must pay us a proportionate amount for the Service supplied up to the moment you told us you were cancelling; and
- once the Service has been fully supplied for the period you paid for, your right to cancel under this clause is lost.
Refunds. If you cancel in time, we will refund what you paid, less any proportionate amount due under this clause, within 14 days of being told, using the same payment method you used.
7. Your content and your responsibilities
You keep all rights in the data, files, websites and other material you or your users put on the Service ("Your Content"). We claim no ownership of it.
You grant us a limited, non-exclusive licence to host, store, copy, transmit and back up Your Content, solely to the extent needed to provide, secure, maintain and support the Service and to comply with the law.
You are responsible for Your Content, including that:
- you have the right to hold and use it;
- it does not infringe anyone's rights or break any law;
- it complies with our Acceptable Use Policy; and
- where it contains personal data, you have a lawful basis for processing it and you meet your own obligations as a data controller.
We do not routinely monitor Your Content and we are not obliged to do so. We may access it where it is necessary to provide or secure the Service, to act on a report or a valid legal request, or where you ask us to for support. How we handle personal data within Your Content is governed by our Data Processing Agreement.
8. Cancelling your subscription
You may cancel at any time from your account or by emailing support@perchplatform.com.
Cancellation takes effect at the end of the monthly period you have already paid for. We do not give pro-rata refunds for the remainder of a paid month, except where clause 6 applies or where the law otherwise requires a refund. You keep access to the Service until the end of that paid period.
We may cancel your subscription for any reason by giving you at least 30 days' notice by email. If we do, we will refund the unused part of any period you have paid for.
9. Suspension and termination by us
We may suspend or terminate your account, in whole or in part, if:
- you breach these Terms or our Acceptable Use Policy in a material way;
- payment remains outstanding 14 days after it was due;
- your use threatens the security, stability or lawful operation of our systems or another customer's service; or
- we are required to do so by law or by a valid order of a court or public authority.
Where it is reasonable and lawful to do so, we will give you notice and a chance to put things right first. Where the problem is urgent — a live security threat, or clearly illegal content — we may act immediately and tell you afterwards. When we suspend or restrict your service because of Your Content, we will give you a statement of the reasons and how to challenge it, as described in our Acceptable Use Policy.
10. What happens to your data when the contract ends
When your subscription ends, or after a suspension for non-payment, we will keep one final backup of Your Content for 30 days. During that window you may subscribe again and have it restored, or ask us to help you export it, and we will provide a copy in a commonly used format at no charge.
After 30 days we permanently delete Your Content, including from our routine backups in the normal backup rotation. Deletion cannot be undone. It is your responsibility to take a copy of anything you need before that window closes.
We may retain records of your account and payments for as long as we are required to by Irish tax and company law. See our Privacy Policy for details.
11. Availability, maintenance and backups
We aim to keep the Service available at all times, but we do not offer a guaranteed uptime level or service credits, and the Service is not fault-tolerant.
We carry out maintenance and apply security updates as needed. Where planned maintenance is likely to interrupt the Service, we will give reasonable advance notice by email where we can. Urgent security work may have to be done without notice.
Backups. We take backups of customer instances daily and retain them for 7 days. Backups are taken for the purpose of recovering the Service. They are not a substitute for your own records, and restoring a backup may lose data written since the backup was taken. You should keep your own independent copies of anything important to you.
12. Support
Support is provided by email at support@perchplatform.com, in English, during normal Irish business hours. We aim to acknowledge requests within one business day. We do not commit to a fixed resolution time.
Support covers the operation of the hosted platform. It does not cover the design, content, plugins, themes or custom code of your own site, or training in how to use the applications we host, although we will help where we reasonably can.
13. Third-party and open source software
The Service is built on third-party software, including Nextcloud, WordPress, Forgejo, Woodpecker CI, PostgreSQL and Redis, which are licensed under their own open source licences, and runs on infrastructure provided by Hetzner Online GmbH in Germany and Finland.
We do not control that software or infrastructure, and we give no warranty in respect of it beyond the commitments we make in these Terms. If you install third-party plugins, themes, apps or extensions, you do so at your own risk, and we may remove or disable any that create a security or stability problem.
14. Our liability
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.
If you are a consumer, you have legal rights under the Consumer Rights Act 2022 and other Irish consumer law, including the right to a service supplied with reasonable care and skill and to remedies if it is not. Nothing in these Terms affects those rights, and nothing in this clause applies to the extent it would exclude or restrict them.
If you are a business customer, then subject to the paragraph above:
- we are not liable for loss of profit, loss of revenue, loss of anticipated savings, loss of business or goodwill, or for any indirect or consequential loss;
- we are not liable for loss of or damage to Your Content to the extent it could have been avoided by you keeping your own copies, as clause 11 asks you to; and
- our total liability arising out of or in connection with these Terms in any 12-month period is limited to the total amount you paid us in the 12 months before the event giving rise to the claim.
15. Changes to these Terms
We may change these Terms. We will give you at least 30 days' notice by email of any change that materially affects your rights or obligations, and it will take effect at your next renewal date after that notice. If you do not accept the change, you may cancel before it takes effect and we will refund the unused part of any period you have paid for.
Minor changes that do not affect your rights — correcting a typo, updating our contact details or a sub-processor's name — may be made without notice, and the current version will always be at https://perchplatform.com/terms.
16. General
Notices. We will send notices to the email address on your account. You should send notices to support@perchplatform.com. It is your responsibility to keep your email address current.
Assignment. You may not transfer your rights under these Terms without our written consent. We may transfer ours to a company that acquires our business, provided your rights are not reduced; if you are a consumer and this happens, we will tell you and you may cancel.
Events outside our control. We are not liable for failure or delay caused by something beyond our reasonable control, including failures of our infrastructure suppliers, network or power outages, or acts of public authorities. If such an event continues for more than 30 days, either of us may end the contract, and we will refund the unused part of any period you have paid for.
Severability. If any part of these Terms is found to be unenforceable, the rest continues to apply.
Entire agreement. These Terms, together with the Acceptable Use Policy, Privacy Policy and (where applicable) the Data Processing Agreement, are the whole agreement between us about the Service.
17. Governing law, complaints and disputes
These Terms are governed by the laws of Ireland, and the courts of Ireland have jurisdiction.
If you are a consumer resident in another EU member state, this does not deprive you of the protection of the mandatory consumer law of the country where you live, and you may bring proceedings in the courts of that country.
Complaints. Please email us first at support@perchplatform.com. We aim to respond within five business days. If you are a consumer and we cannot resolve matters between us, you may contact the Competition and Consumer Protection Commission (www.ccpc.ie), or the European Consumer Centre Ireland (www.eccireland.ie) if you live in another EU member state.
